Exceed Web Services Referral Program Terms and Conditions

Effective Date: May 19, 2025

These Referral Program Terms and Conditions (“Referral Terms”) govern your participation in the Exceed Web Services Referral Program (the “Program”). By participating in the Program, you (“Referrer,” “You”) agree to these Referral Terms, which are in addition to the Exceed Web Services main Terms and Conditions and Privacy Policy (collectively, the “Agreements”) available on https://www.exceedwebservices.com. If there is any conflict between these Referral Terms and the main Agreements, these Referral Terms will prevail with respect to the Program.

“Exceed Web Services,” “we,” “us,” or “our” refers to the operator of the Program.

1. Eligibility
a. To be eligible to participate as a Referrer, you must be at least 18 years old and capable of forming a binding contract.
b. Employees, contractors, and immediate family members of Exceed Web Services are not eligible to participate in the Program.
c. Exceed Web Services reserves the right to approve or deny any application to the Program or to terminate a Referrer’s participation at any time, for any reason, at our sole discretion.

2. How the Program Works
a. Upon acceptance into the Program, Exceed Web Services will provide you with a unique referral code or link (“Referral Code”).
b. You may share your Referral Code with potential new customers (“Referred Customers”) who are not existing or past customers of Exceed Web Services.
c. A “Qualified Referral” occurs when:
i. A Referred Customer uses your unique Referral Code during their initial purchase of eligible services from Exceed Web Services.
ii. The Referred Customer successfully completes their purchase, and full payment for the service has been received and cleared into Exceed Web Services’ bank account.
iii. The sale is not subsequently cancelled, refunded, or subject to a chargeback.
iv. The Referred Customer is a genuine new client and not the Referrer themselves, an entity controlled by the Referrer, or an existing client making an additional purchase under a new guise.
d. Exceed Web Services will track Qualified Referrals using the Referral Code. We are not responsible for tracking errors if the Referred Customer does not use the Referral Code correctly.

3. Referral Commission and Tiers
a. For each Qualified Referral, you will earn a commission based on the Net Profit from that sale. “Net Profit” is defined as the total amount paid by the Referred Customer for the initial eligible service, less Value Added Tax (VAT) or other applicable sales taxes, payment processing fees, direct costs associated with delivering the service (e.g., third-party software licenses purchased specifically for that client project), discounts, and refunds.
b. Commission Tiers (based on the cumulative number of Qualified Referrals attributed to you):
* Tier 1: For 1 to 5 Qualified Referrals, you will receive 10% of the Net Profit from each sale.
* Tier 2: For 6 to 20 Qualified Referrals, you will receive 15% of the Net Profit from each sale within this tier.
* Tier 3: For 21 to 50 Qualified Referrals, you will receive 20% of the Net Profit from each sale within this tier.
c. Movement to a higher tier is based on the total number of Qualified Referrals you have generated. Once a new tier is reached, the commission rate for subsequent Qualified Referrals will be at that higher tier’s rate. Tiers are not applied retroactively to previous sales.
d. Exceed Web Services reserves the right to determine which services are eligible for referral commissions. Commissions are typically paid on the initial sale/project value and not on recurring revenue (e.g., monthly maintenance fees) unless explicitly stated otherwise by us in writing.
e. Commissions are calculated after the Referred Customer’s payment has fully cleared into our bank account and any applicable refund or cooling-off period has passed of 30 days after project completion and final payment.

4. Payouts
a. Commissions will be paid out on a monthly basis, typically within 30 days of the end of the payout period, provided the earned commission meets a minimum payout threshold of £20. If the threshold is not met, the balance will roll over to the next payout period.
b. Payouts will be made via:
i. Direct bank transfer to a UK bank account provided by you.
ii. PayPal to a PayPal account provided by you.
c. You are responsible for providing accurate and up-to-date payout information. Exceed Web Services is not responsible for lost or misdirected payments due to incorrect information provided by you.
d. You are solely responsible for any fees associated with receiving payouts (e.g., PayPal fees, bank transfer fees if applicable on your end).
e. Taxes: You are solely responsible for the payment of all taxes, duties, and other governmental charges payable on any commissions earned through the Program. If required by law, Exceed Web Services may deduct or withhold taxes from your commission payments. You agree to provide Exceed Web Services with any necessary tax information upon request.

5. Referrer Obligations and Restrictions
a. You agree to promote Exceed Web Services and our services in a truthful and ethical manner.
b. You may not:
i. Use spam or unsolicited commercial emails to promote your Referral Code.
ii. Misrepresent your relationship with Exceed Web Services or imply any form of employment or partnership beyond that of a Program participant.
iii. Make false or misleading claims about Exceed Web Services or our services.
iv. Use Exceed Web Services’ trademarks, logos, or copyrighted material in any way that is not expressly permitted by us, or in a manner that could be detrimental to our brand.
v. Offer incentives, kickbacks, or rewards to Referred Customers for using your Referral Code, other than those officially sanctioned by Exceed Web Services.
vi. Engage in any illegal, fraudulent, or unethical practices in connection with the Program.
vii. Bid on Exceed Web Services brand keywords (e.g., “Exceed Web Services”) or variations thereof in any pay-per-click advertising (e.g., Google Ads).
viii. Post your Referral Code on “coupon-only” websites or sites primarily designed for aggregating discount codes without prior written consent from Exceed Web Services.
c. You must clearly disclose your participation in the Referral Program and that you may earn a commission when sharing your Referral Code (e.g., by stating “This is an affiliate link/code, and I may earn a commission if you make a purchase”). This is a legal requirement in many jurisdictions, including the UK (ASA guidelines).

6. Termination and Changes
a. Exceed Web Services reserves the right to modify, suspend, or terminate the Program or these Referral Terms at any time, with or without notice, at our sole discretion.
b. If we modify these Referral Terms, we will post the changes on this page or notify you. Continued participation in the Program after such changes constitutes your acceptance of the new terms.
c. We may terminate your participation in the Program if you breach any of these Referral Terms or engage in any activity that we deem harmful to our brand or business.
d. Upon termination of your participation or the Program, you will be eligible to receive any accrued and unpaid commissions for Qualified Referrals made prior to the termination date, subject to these Referral Terms, unless termination was due to fraudulent activity or breach of these terms.

7. Relationship of Parties
Your participation in the Program does not create any employment, agency, partnership, or joint venture relationship between you and Exceed Web Services. You have no authority to bind Exceed Web Services in any way.

8. Limitation of Liability
EXCEED WEB SERVICES WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES (OR ANY LOSS OF REVENUE, PROFITS, OR DATA) ARISING IN CONNECTION WITH THESE REFERRAL TERMS OR THE PROGRAM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, OUR AGGREGATE LIABILITY ARISING WITH RESPECT TO THESE REFERRAL TERMS AND THE PROGRAM WILL NOT EXCEED THE TOTAL REFERRAL COMMISSIONS PAID OR PAYABLE TO YOU UNDER THESE REFERRAL TERMS.

9. Governing Law
These Referral Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or related to these Referral Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
